1. Introduction
These Terms and Conditions ("Terms", "Agreement") govern your access to and use of the Dilr voice AI platform ("Service", "Platform") provided by Dilr.Ai Ltd ("Company", "we", "us", or "our"), a private limited company registered in England and Wales under company number 16842656, with registered office at 92 East Croft House, 86 Northolt Road, Harrow, HA2 0ES, England.
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.
2. Definitions
- "Account" means the user account created to access and use the Service
- "API" means the application programming interface provided by the Service
- "Call" means voice calls made or received through the Platform
- "Campaign" means an outbound calling campaign to a group of contacts
- "Configuration" means AI agent settings including LLM, TTS, and STT models
- "Content" means any data, text, audio, recordings, or materials uploaded or generated through the Service
- "Organization" means the entity associated with your Account
- "Tokens" means the virtual currency used for billing on the Platform
3. Service Description
Dilr provides an enterprise voice AI platform that enables users to:
- Create and manage AI-powered voice agents
- Make and receive voice calls through Twilio integration
- Record, transcribe, and analyze call conversations
- Configure custom AI models (LLM, TTS, STT)
- Execute voice call campaigns
- Manage contact databases and groups
- Access analytics and performance metrics
- Integrate via REST API and webhooks
3.1 Twilio Integration Requirement
Outbound calling campaigns require you to connect your own Twilio account. Calls made through campaigns are billed directly to your Twilio account. Dilr is not responsible for Twilio charges, Twilio service availability, or your compliance with Twilio's Acceptable Use Policy. You must maintain your own Twilio account in good standing to use outbound campaign features.
4. Account Registration and Security
4.1 Account Creation
You must register for an Account using Google OAuth authentication. You must provide accurate, current, and complete information during registration and maintain the accuracy of such information.
4.2 Account Security
You are responsible for maintaining the security of your Account credentials and for all activities that occur under your Account. You must immediately notify us of any unauthorized use of your Account.
4.3 Organization Accounts
If you create an Organization Account, you represent that you have authority to bind the organization to these Terms. Organization owners are responsible for managing user roles and permissions.
4.4 Verification Requirements
Certain features, including outbound campaigns and international phone numbers, require identity verification and phone number verification. This is required for regulatory compliance and fraud prevention. We may restrict access to features until verification is complete. You agree to provide accurate identification documents when requested.
5. Acceptable Use Policy
5.1 Permitted Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree to comply with all applicable local, national, and international laws.
5.2 Prohibited Activities
You agree NOT to:
- Use the Service for any illegal, harmful, or fraudulent purposes
- Make unsolicited calls or spam calls in violation of telemarketing regulations
- Violate any applicable laws including TCPA, CAN-SPAM, GDPR, or similar regulations
- Impersonate any person or entity or misrepresent your affiliation
- Transmit malware, viruses, or any harmful code
- Attempt to gain unauthorized access to the Service or related systems
- Interfere with or disrupt the Service or servers
- Use the Service to harass, abuse, or harm others
- Scrape, crawl, or use automated means to access the Service excessively
- Resell or redistribute the Service without authorization
5.3 Outbound Calling Compliance
For outbound calling campaigns, you are solely responsible for compliance with all applicable telemarketing regulations, including but not limited to:
- TCPA (Telephone Consumer Protection Act) in the United States
- TPS/CTPS (Telephone Preference Service/Corporate Telephone Preference Service) in the UK
- NDNC (National Do Not Call Registry) in India
- ACMA regulations in Australia
- All other applicable Do-Not-Call regulations in your jurisdiction
You must:
- Connect your own Twilio account for outbound campaigns
- Obtain proper prior express consent before making automated calls
- Honor all Do-Not-Call lists and opt-out requests immediately
- Follow calling time restrictions in the recipient's jurisdiction
- Identify yourself and your company clearly at the start of each call
- Maintain records of consent and opt-out requests
Dilr provides compliance tools to assist you, but does not guarantee your compliance. You are solely responsible for ensuring your calling activities comply with all applicable laws. Violations may result in immediate account termination without refund.
5.4 General Telemarketing Guidelines
While we provide do-not-call list management, consent tracking, call time restrictions, and automated compliance workflows, you remain responsible for using them appropriately and ensuring your campaigns comply with all applicable laws.
6. Pricing and Billing
6.1 Token System
The Service uses a token-based billing system. You must purchase tokens to use the Platform. Token prices and exchange rates are displayed in your account dashboard.
6.2 Usage Charges
Tokens are consumed based on:
- Call duration (per minute)
- AI model usage (LLM tokens, TTS characters, STT minutes)
- Storage for recordings and transcripts
6.3 Payment Terms
All fees are payable in advance. We accept payments via Stripe and Razorpay. You authorize us to charge your payment method for all fees incurred.
6.4 No Refunds
All token purchases are final and non-refundable. Unused tokens remain in your account balance and do not expire.
6.5 Pricing Modifications
We reserve the right to modify our pricing at any time. You will be notified at least 30 days in advance via email before any price increases take effect. Continued use of the Service after the effective date of any price change constitutes your acceptance of the new pricing. If you do not agree to the new pricing, you may terminate your account before the changes take effect.
7. Intellectual Property Rights
7.1 Platform Ownership
The Service, including all software, algorithms, designs, and content, is owned by Dilr.Ai Ltd and protected by intellectual property laws. These Terms do not grant you any ownership rights.
7.2 Your Content
You retain all rights to Content you upload or create using the Service. By using the Service, you grant us a limited license to store, process, and transmit your Content as necessary to provide the Service.
7.3 Generated Content
Call recordings, transcripts, and AI-generated content created through the Service are owned by you, subject to these Terms and our Privacy Policy.
8. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. Call recordings and transcripts are stored securely and processed in accordance with applicable data protection laws including GDPR and CCPA.
9. Third-Party Services
The Service integrates with third-party providers including:
- Twilio (telephony services)
- OpenAI (language models)
- Deepgram (speech-to-text)
- ElevenLabs (text-to-speech)
- Google Cloud Platform (infrastructure)
Your use of these integrated services is subject to their respective terms of service. We are not responsible for third-party service availability or performance.
10. API Usage
10.1 API Access
We provide REST API access for integration with your applications. API keys must be kept secure and not shared publicly.
10.2 Rate Limits
API usage is subject to rate limits to ensure fair usage and platform stability. Excessive requests may be throttled or blocked.
10.3 API Changes
We may modify, deprecate, or discontinue API endpoints with reasonable notice. We will maintain backward compatibility when feasible.
11. Service Availability and Support
11.1 Uptime
We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible.
11.2 Support
Technical support is provided via email at contact@dilr.ai. Response times vary based on your subscription tier and issue severity.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DILR.AI LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
13. Warranties and Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that:
- The Service will meet your specific requirements
- The Service will be uninterrupted, timely, secure, or error-free
- AI-generated content will be accurate or appropriate
- Any defects will be corrected
14. Indemnification
You agree to indemnify, defend, and hold harmless Dilr.Ai Ltd, its directors, officers, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of third parties
- Your Content or calling activities
- Your violation of any telemarketing or calling regulations
15. Termination
15.1 Termination by You
You may terminate your Account at any time through the Platform settings or by contacting support. Unused tokens are non-refundable upon termination.
15.2 Termination by Us
We may suspend or terminate your Account immediately if:
- You breach these Terms
- You engage in prohibited activities
- You violate telemarketing regulations
- Your account has been inactive for over 12 months
- Required by law or legal process
15.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. You may request an export of your data within 30 days of termination.
16. Modifications to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or through the Platform at least 30 days before they take effect. Your continued use of the Service after changes constitutes acceptance.
17. Governing Law and Dispute Resolution
17.1 Governing Law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
17.2 Jurisdiction
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
17.3 Informal Resolution
Before filing a legal claim, you agree to attempt to resolve disputes informally by contacting us at contact@dilr.ai.
18. General Provisions
18.1 Entire Agreement
These Terms, together with our Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and Dilr.Ai Ltd regarding the Service.
18.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
18.3 No Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
18.4 Assignment
You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
